Blockchain Participant Rules

 

Official Rules

This Agreement (“Agreement”) is made by and between The Institute of Electrical and Electronics Engineers, Incorporated (“IEEE”), through its Standards Associations (“IEEE-SA)”, and you (“You” or “Participant”) and governs your participation in IEEE-SA’s online Blockchain workshop to promote the use of blockchain programming in formulating solutions for challenges in health technologies and promoting such solutions for the advancement of humanity (the “Event”).

A. By participating in this Event, You agree to abide by these terms and conditions as established by IEEE. All decisions made by IEEE concerning the Event including, but not limited to the cancellation of the Event, shall be final and at its sole discretion.

B. The Event is open to residents of the United States of America and other countries, where permitted by local law, who are the age of eighteen (18) and older. Employees of IEEE, its agents, affiliates and their immediate families are not eligible to enter the Event. Entrants may be subject to rules imposed by their institution or employer relative to their participation in the Event and should check with their institution or employer for any relevant policies. Void where prohibited by law.

C. No purchase is necessary to participate.

D. The Event commences on September 15, 2016 and ends on October 21, 2016. Entries received before or after the entry period are void.

E. To participate, Participant must submit a possible solution to an Event problem using Blockchain protocol on a platform made available by the Event.

F. Participant submissions will be reviewed by IEEE, Event sponsors, and Event platform providers. There is no prize for participating. Exceptional submissions, as determined by IEEE, Event sponsors, and Event platform providers may receive recognition at the IEEE Rock Star in Innovation Conference.

G. The participants receiving recognition may attend the IEEE Rock Star in Innovation Conference however, they will be responsible for their own registration fees and/or attendance costs.

H. Participants consent to the use of his or her name, likeness, business name and address by IEEE for advertising and promotional purposes, including but not limited to on IEEE’s social media pages, without any additional compensation, except where prohibited. No entries will be returned.

I. Participants agree to release and hold harmless IEEE and its officers, directors, employees, affiliated companies, agents, successors and assigns from and against any claim or cause of action arising out of participation in the Event.

J. Participants shall retain all intellectual property rights in their submissions. Participants shall grant IEEE, Event sponsors, and Event platform participants a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute the entry in connection with the Event.

K. No waiver by either party of any breach of any provision hereof shall constitute a waiver of any other breach of that, or of any other, provision hereof. In the event a court of competent jurisdiction or arbitrator holds any provision of this Agreement to be invalid, such holding shall have no effect on the remaining provisions of this Agreement, and they shall continue in full force and effect unless it is a material part of the Agreement.

L. Any notices given under this Agreement shall be in writing and delivered by first-class mail (postage prepaid), facsimile (with confirmation of receipt), e-mail, or by a nationally recognized overnight courier service addressed to the parties’ business address.

M. This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the State of New York, without regard to conflict of laws principles. IEEE and Participant agree that all actions arising under or in respect of this Agreement or any other document executed in connection herewith shall be litigated in a court of competent jurisdiction in the City and State of New York.

N. IEEE assumes no responsibility for computer system, hardware, software or program malfunctions or other errors, failures, delayed computer transactions or network connections that are human or technical in nature, or for damaged, lost, late, illegible or misdirected entries; technical, hardware, software, electronic or telephone failures of any kind; lost or unavailable network connections; fraudulent, incomplete, garbled or delayed computer transmissions whether caused by IEEE, the users, or by any of the equipment or programming associated with or utilized in the Event.

O. By submitting an entry, Participant represents and warrants that the entry does not and shall not comprise, contain, or describe, as determined in IEEE’s sole discretion: (A) false statements or any misrepresentations of your affiliation with a person or entity; (B) personally identifying information about you or any other person; (C) statements or other content that is false, deceptive, misleading, scandalous, indecent, obscene, unlawful, defamatory, libelous, fraudulent, tortious, threatening, harassing, hateful, degrading, intimidating, or racially or ethnically offensive; (D) conduct that could be considered a criminal offense, could give rise to criminal or civil liability, or could violate any law; (E) any advertising, promotion or other solicitation, or any third party brand name or trademark; or (F) any virus, worm, Trojan horse, or other harmful code or component. By submitting an entry, you represent and warrant that you own the full rights to the entry and have obtained any and all necessary consents, permissions, approvals and licenses to submit the entry and comply with all of these rules, and that the submitted entry is your sole original work, has not been previously published, released or distributed, and does not infringe any third-party rights or violate any laws or regulations.

P. Participant shall indemnify and hold IEEE harmless in the event their submission infringes upon the intellectual property rights of a third party.

Q. IEEE reserves the right, in its sole discretion, to cancel or suspend the Event should virus, bugs or other causes beyond IEEE’s control, unauthorized human intervention, malfunction, computer problems, phone line or network hardware or software malfunction, which, in the sole opinion of IEEE, corrupt, compromise or materially affect the administration, fairness, or security of the Event. IEEE is not liable for any loss, injury or damage caused, whether directly or indirectly, in whole or in part, from downloading data or otherwise participating in this Event.

R. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IEEE BE LIABLE TO THE PARTICIPANT FOR ANY INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND, LOST GOODWILL, LOST PROFITS, LOST BUSINESS AND/OR ANY INDIRECT ECONOMIC DAMAGES WHATSOEVER REGARDLESS OF WHETHER SUCH DAMAGES ARISE FROM CLAIMS BASED UPON CONTRACT, NEGLIGENCE, TORT (INCLUDING STRICT LIABILITY OR OTHER LEGAL THEORY), A BREACH OF ANY WARRANTY OR TERM OF THIS AGREEMENT, AND REGARDLESS OF WHETHER SUCH PARTY WAS ADVISED OR HAD REASON TO KNOW OF THE POSSIBILITY OF INCURRING SUCH DAMAGES IN ADVANCE.

S. Participant and IEEE are independent parties. Nothing contained in this Agreement shall be construed or applied to create a partnership or joint venture.

T. This Agreement constitutes the entire understanding between the parties hereto and there are no other collateral oral or written agreements or understandings. This Agreement supersedes any prior oral or written agreement or understanding between the parties.
